This move achieves the following strategic objectives:

• Brings a major source of supply directly under MDA control.
• Significantly improves MDA's value added content in future information solutions containing space based data collection and distribution.

The parties are seeking to close the transaction during 2005, subject to the satisfaction of normal closing conditions and clearance by Canadian antitrust authorities.
